1. Who we are

“AIApply”, “we”, “our” and “us” mean AIApply Limited, a company registered in England and Wales (Company No. 15200716), with registered office at Suite 4, New Humberstone House, 40 Thurmaston Lane, Leicester, United Kingdom, LE5 0TE.

Contact: hello@aiapply.co
Data Protection Officer: dpo@aiapply.co

2. What these Terms cover

These Terms govern your access to and use of:

  • the website at www.aiapply.co and any subdomains,
  • AIApply web, desktop and mobile applications,
  • browser extensions and integrations, including our connector for third-party AI assistants (see Section 16A),
  • all associated content, features and functionality, and
  • any other digital platforms where these General Terms appear or are linked to (together, the Services).

Certain features have Service-Specific Terms, currently AutoApply and Interview Buddy. Those additional terms are incorporated by reference and prevail over these General Terms if there is any conflict (see Section 6). In addition to the AutoApply User Agreement, Section 16A applies to AutoApply actions taken through a third-party AI assistant (such as ChatGPT or Claude) that you connect to your account through our connector so that it can access the Services on your behalf (a "Connected Assistant").

3. Key definitions

  • Content: any text, graphics, audio, video, data or other materials in the Services, including AI Output.
  • User Content: materials you upload or provide (e.g., resumes, job descriptions, prompts, recordings, transcripts).
  • Paid Services: fee-based features (subscriptions, credits, one-offs).
  • Service-Specific Terms: additional terms that apply to a particular Service, which we provide to you before you use that Service and which prevail over these Terms for that Service as described in Section 6. The Services that currently have Service-Specific Terms are listed in Section 2.
  • Search Only: a subscription tier that includes our job search and matching features but does not include AutoApply.
  • AutoApply: job-application automation (governed by the AutoApply User Agreement).
  • Interview Buddy: AI-assisted interview practice/feedback (governed by the Interview Buddy Terms).

4. Acceptance of Terms

By using any of our Services, you agree to these Terms and to our Privacy & Cookie Policy. If you do not agree with either or both, please do not use our Services. If you proceed, we will assume your agreement and acceptance of both, these Terms and our Privacy and Cookie Policy.

5. Eligibility & Accounts

You must be the age of digital consent in your jurisdiction in order to use our Services. If under 18, you must have parental/guardian consent. We do not knowingly collect data from children under 13 in the U.S. or under 16 in the UK/EU. You must provide accurate information, keep it current, and safeguard your credentials at all times. You are responsible for all activity under your account, including activity through a Connected Assistant, and must notify us of any unauthorised use.

6. Service-Specific Terms; Order of Precedence

Where a conflict or ambiguity exists, any specific terms will prevail over these more general Terms and any policies linked to from these or other terms.

7. Privacy & Cookies

Our Privacy & Cookie Policy explains how we collect, use, share and protect personal data (including recordings and transcripts). Where you consent to marketing cookies, your hashed contact information may be shared with advertising platforms as described in our Privacy & Cookie Policy. If you use a Connected Assistant, we share the data described in that Policy with its provider at your request.

8. Changes to Terms

We may modify these Terms from time to time. Material changes will be announced on the Website or via email at least 14 days before they take effect (earlier if required by law or for security/operational reasons). Continued use after the effective date constitutes acceptance.

9. Communications & Marketing (AIApply and The Download)

We send service related and transactional emails, which do not contain any marketing materials, without your consent.

For any emails that contain any marketing content, however, we require opt-in consent. Both of the below Services require your opt-in consent prior to receiving them:

  • AIApply updates & promotions (sender domains include aiapply.co), and
  • The Download newsletter (sender domains include download.ai, operated by AIApply Ltd trading as “The Download”).

Each list requires separate consent. You can unsubscribe from either Service at any time in the email footer or in your account settings. Where permitted by law, we may rely on soft opt-in for existing customers when we wish to communicate to you about our own products and services. However, we will always offer you an opt-out option each time any such communication is sent.

9.1 Contributor and research programmes

From time to time we may invite you to take part in optional programmes we operate, including paid contributor programmes. An invitation of this kind is a marketing communication and is sent only to users who have opted in to AIApply updates and promotions. Participation is entirely optional. It has no effect on your access to the Services, the price you pay, or the way your account is handled, and declining an invitation or unsubscribing will not disadvantage you in any way. Any programme you join will have its own separate terms, which you will need to accept before you take part. Nothing in this section changes Section 18: we are not an employment agency or employment business, and an invitation to a programme is not an offer of employment.

9.2 Third-party programme invitations

Where we tell you about a service or programme run by an organisation other than AIApply, we do so only where you have separately opted in to receiving partner opportunities. We will always name the partner organisation in the message. We never pass your details to a partner organisation unless you ask us to, for example by choosing to sign up with them, and anything you provide to a partner is governed by that organisation's own terms and privacy notice. Where a partner has paid us or pays us a commission to tell you about their service, we will say so in the message. Declining, ignoring or unsubscribing from partner invitations has no effect on your account or the Services.

10. Prices, Renewals, Cooling-Off & Refunds

Prices are inclusive of VAT unless stated otherwise. Subscriptions renew automatically at the then-current rate unless cancelled at least 24 hours prior to the end of your subscription term.

If you are a UK resident or otherwise where applicable, by purchasing digital Paid Services you are requesting immediate performance and acknowledge that you lose the 14-day right to cancel under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013.

Except where required by law or expressly stated in Service-Specific Terms, fees are non-refundable. We may suspend or terminate your account for non-payment.

Support first

You must contact our support team and allow us a reasonable opportunity to resolve the issue before a refund is considered. If the issue remains unresolved, we may issue a refund.

Technical issues

Refunds may be granted if you report a reproducible and verified technical issue that materially prevents access to or proper use of the service. You must provide reasonable evidence (such as screenshots, error messages, and steps to reproduce the issue).

Accidental purchases

Refunds may be granted if you report an accidental purchase within 30 minutes of the initial charge and there has been no meaningful usage of the service.

Subscription renewal

Subscriptions renew automatically unless cancelled at least 24 hours before the end of the current billing period. Refunds for renewed subscriptions are generally not available, except where required by law or in cases of eligible technical issues.

Auto-Apply service

Auto-Apply is a non-refundable product. Due to the nature of this service and the resources involved, refunds are not available after applications have been submitted, including applications you add or approve through a Connected Assistant.

If you experience any issues with your applications or believe something did not work as expected, you may reach out to support@aiapply.co for assistance, and our team will be happy to review the case.

11. Acceptable use

You must not: infringe anyone's intellectual property rights; violate anyone's privacy rights; harass or promote hate/illegal content; introduce malware; scrape data at scale (including through a Connected Assistant or our connector); reverse engineer; misuse automation; use our connector to circumvent limits, safeguards or the permissions you approved, or allow anyone else to use your connection; or misrepresent your identity, qualifications, right to work, or legally required disclosures.

11A. Fair Use & Operational Safeguards

To protect deliverability and platform health we may queue, batch, space, delay, reject or cap requests/outputs/submissions (including those made through a Connected Assistant) per hour/day/account/connection and temporarily restrict specific providers/destinations at our discretion.

12. Licence to User Content; Feedback

You grant us a world-wide, non-exclusive, royalty-free, transferable, sublicensable licence to host, store, reproduce, process, adapt, publish and display User Content solely to operate, secure, improve and promote the Services. You retain all other rights. If you submit feedback, you grant us a perpetual, irrevocable licence to use it without restriction.

12A. Confidentiality

Each party will treat the other's non-public information as confidential and use it only to provide/receive the Services. This does not apply to information that is public, independently developed, or lawfully obtained from a third party without duty of confidence. We may disclose where required by law.

13. Intellectual property

All Content (excluding User Content) is owned by us or our licensors and protected by IP laws. No rights are granted except as expressly set out. You may not copy, modify, distribute, sell, lease or create derivative works without our prior written consent.

14. AI Output; screening & detection

AI Output may be inaccurate, incomplete or out-of-date. It is provided “as is” for general informational purposes and is not professional, legal or career advice. You must verify accuracy and suitability before relying on or submitting it. Employers/platforms may use AI/bot-detection; we do not guarantee any outcome. Anything a Connected Assistant generates, including its summaries, advice and descriptions of jobs or of your account, is produced by its provider, not by us. We are not responsible for it, and you must check it before relying on it.

15. Third-party services & platforms

The Services may link to or interoperate with third-party platforms (e.g., ATS/job boards, conferencing, transcription, Connected Assistants). Where you submit applications through the Services, we transmit your application data, resume and contact details to the relevant applicant tracking system (ATS), job board or recruitment platform so that your application can be received. Where you approve a match before we apply, whether by applying manually, in Review mode or through a Connected Assistant, you authorise that submission individually. Where you select Hybrid mode or Auto mode, you authorise us at the point of enablement to submit applications on your behalf in line with the settings and criteria you have set, and we continue to do so until you change your mode or pause AutoApply. In Hybrid mode that authorisation covers your high-fit roles, and lower-fit matches are still shown to you for your approval before we apply. These platforms operate under their own terms and privacy policies. We do not control third-party content/availability/practices; access is at your risk and subject to their terms. Some platforms restrict automation or AI assistance; you are responsible for compliance. We are not liable if a platform suspends, limits or rejects submissions.

15A. Partners

You may reach AIApply through a partner (a business, such as a job board, whose website, co-branded page or sign-in you use to reach us). AIApply alone provides the Services and your contract is with AIApply. Partners are not responsible for the Services, billing, support or refunds, and do not receive your account data. Prices offered through a partner may differ from those on our website; the price, and any renewal price, shown to you at checkout when you confirm your purchase is the price that applies, until we tell you in advance about a new price (see Section 10). If a partnership ends or a partner's sign-in stops working, we will give you another way to sign in (for example, by email), and your account and any subscription continue with AIApply. AIApply may pay partners for referring users.

16. Credentials & tokens

If you connect third-party accounts, you confirm you have the right to do so and authorise us to store and use access tokens only to perform actions you request. We may invalidate/delete tokens for risk, abuse or security. When you connect an AI assistant to your account through our connector, we issue access tokens to it (rather than giving it your credentials); Section 16A applies, and we may invalidate those tokens on the same grounds.

16A. Connected Assistants

(a) Connecting. You can search jobs through our connector without an AIApply account; everything else requires you to connect as described here. You may connect a third-party AI assistant to your account by signing in to AIApply and approving, on our consent screen, the permissions it requests. You can disconnect it at any time in your account settings, which ends its access immediately. Removing AIApply from within the assistant does not end its access on our side. A Connected Assistant's access also lapses if it is not used for 30 days. Your use of the Connected Assistant itself is governed by its provider's terms, not these Terms. We do not control and are not responsible for the Connected Assistant, its availability, how it interprets your requests or how its provider handles your data. This Section applies only to our connector. Tools built by others to access AIApply are not part of the Services and may breach Section 11.

(b) Actions on your behalf. Depending on the permissions you approve, a Connected Assistant can use the Services on your behalf, including to search jobs, set up AutoApply from a resume you send through it, read information from your account, add jobs to your AutoApply queue, approve queued applications for submission, and pause or resume AutoApply. Each action taken through a Connected Assistant is treated as your instruction to us, with the same effect as if you had taken it in AIApply. In particular:

  • a job you add to your queue through a Connected Assistant is added already approved, and we will apply for it without asking you again in AIApply;
  • approving a queued application authorises us to submit it to the employer or the platform where the job is advertised, and this cannot be undone;
  • adding a job or approving an application uses credits in the same way as it would in AIApply; and
  • resuming AutoApply restarts applying in line with your current mode and settings (in Hybrid mode or Auto mode, this includes applications sent without further approval), and each application uses credits.

(c) Your confirmation. Our connector asks the Connected Assistant to show you the job or action and get your confirmation before it saves your AutoApply setup, adds a job, approves an application, pauses or resumes AutoApply, or takes any other action we require you to confirm, and we will not carry out any of those actions unless the Connected Assistant tells us that you have confirmed it. We cannot verify that it has actually asked you, or control how it does so. You are responsible for checking what it proposes before you confirm, and for any action taken through a connection you approved.

(d) Accuracy. What a Connected Assistant tells you about jobs, employers, your applications or your account is generated by its provider from information we supply. If it differs from what AIApply shows, AIApply's records prevail.

(e) Changes and suspension. We may change, limit or withdraw the connector or any of its permissions, and suspend or revoke any Connected Assistant's access, at any time, including for security, abuse or risk reasons. Section 25 does not apply to these changes.

17. Security; beta features

We implement reasonable technical and organisational measures but cannot guarantee absolute security. From time to time we may provide beta/experimental features as-is; they may change or be withdrawn.

18. Not an employment agency; no guarantees

We are software tooling, not an “employment agency” or “employment business” under applicable law; we do not introduce/supply workers or negotiate employment terms. We do not guarantee interviews, offers, outcomes or timelines.

19. Warranties; “as is”

To the maximum extent permitted by law, the Services are provided “as is” and “as available” without warranties (express, implied or statutory), including merchantability, fitness for a particular purpose, accuracy or non-infringement.

20. Limitation of liability

Exclusions. We are not liable for indirect, incidental, special, consequential, exemplary or punitive damages; loss of profits, revenue, goodwill, data or business; errors in AI Output or matches; or the acts, omissions or outputs of a Connected Assistant or its provider (including actions you confirm on the basis of what it tells you), whether in contract, tort (including negligence) or otherwise, even if foreseeable.

Cap. Our total aggregate liability for direct losses is limited to the greater of £100 or the fees you paid for Paid Services in the 6 months preceding the event.

Non-excludable liabilities. Nothing limits liability that cannot by law be limited (e.g., death/personal injury caused by negligence or fraud).

Service-Specific override. Where a Service-Specific Term sets a lower cap or additional exclusions, that stricter term governs for that feature.

21. Indemnity

You will defend, indemnify and hold us harmless from claims, losses, damages, costs and expenses (including reasonable legal fees) arising out of: (i) your use of the Services; (ii) your User Content or AI Output you choose to rely on or submit; (iii) your breach of these Terms or of law; (iv) recording-law violations; (v) misrepresentations or unlawful information included in applications; and (vi) your violation of third-party platform terms.

22. Arbitration and Waiver of Class Actions (U.S. Residents Only)

Arbitration and Waiver of Class Actions (U.S. Residents Only). Any dispute arising out of or relating to this Agreement or your use of the Services shall be resolved through binding arbitration on an individual basis. You and AIApply agree that each may bring claims against the other only in your or its individual capacity, and not as a plaintiff or class member in any purported class, collective, or representative proceeding.

23. Force majeure

Neither party is liable for delay/failure caused by events beyond reasonable control (e.g., outages, cyberattacks, labour disputes, government action, epidemic, third-party platform changes, including changes to, or outages of, a Connected Assistant).

24. Termination

We may suspend or terminate access at any time for breach, risk, non-payment or discontinuation. You may delete your account at any time. Provisions that by nature survive (including Sections 7, 10 to 23, and 25 to 31) remain in force.

25. Changes to the Services

We may modify, suspend or discontinue any part of the Services. If we materially reduce core functionality of a Paid Service, we will give 30 days' notice and offer a pro-rata refund of prepaid fees if you cancel before the change takes effect.

26. Export controls & sanctions

You represent you are not subject to sanctions and will not use the Services in violation of export control or sanctions laws.

27. Assignment

We may assign or transfer these Terms (in whole or part) to any affiliate or successor. You may not assign without our prior written consent.

28. Governing law & jurisdiction

English law governs. The courts of England and Wales have exclusive jurisdiction, subject to mandatory consumer rights that may allow proceedings in your local courts.

29. Third-party rights

No person other than you and AIApply may enforce these Terms (Contracts (Rights of Third Parties) Act 1999 excluded), except our affiliates may enforce to the extent necessary to provide the Services.

30. Entire agreement; severability; waiver; headings

These Terms, Service-Specific Terms and referenced policies are the entire agreement. If any provision is unenforceable, the rest remain in force. Failure to enforce is not a waiver. Headings are for convenience only.

31. Notices; contact

We may send notices to the email linked to your account and via the Website. Contact: hello@aiapply.co. DPO: dpo@aiapply.co.
